Buying, selling or raising finance are not part of the everyday for most businesses, yet we deal with them routinely. We work with our clients and other advisors, tailoring our services to the specific needs of our client. Areas of our expertise include:
We have considerable experience advising clients on MBO’s MBIs and VIAMBOs. We often act as lead advisors negotiating the deal, introducing the right funders, structuring the transaction in a commercially appropriate tax-efficient manner.
We identify target businesses, including those not actually for sale. We negotiate to ensure you get the best deal and structure, working alongside lawyers to minimise the buyer’s risk.
Disposing of a business can be complex and we often work with owners well in advance of a sale to prepare the business in order to maximise its value. We can identify strategic buyers and negotiate the optimum deal for the shareholders to ensure they achieve the outcome they deserve.
We provide a wide range of valuation services for a variety of circumstances, including: valuations for M&A deals, restructuring, shareholder disputes, tax purposes, expert witness, funding and investment requirements.
We can provide both vendor and acquisitional due diligence. Financial due diligence is a critical aspect of any transaction as it can affect the purchase price or even the decision on whether to proceed with the transaction. We tailor the scope of our work to ensure our due diligence is focused on the areas that are critical to the business.
Our relationships with equity, mezzanine and debt funders – combined with our knowledge on how to structure a proposal, assists clients in seeking and obtaining the right kind of funding for their business.
Away from the office, Mark’s interests are sporting-biased, in particular football, golf and racket ball (…squash for slightly less talented people!). However, he undoubtedly expends most energy looking after his two young children.
Will has extensive experience in both buy-side and sell-side advice regarding MBOs, MBIs, BIMBOs, VIAMBOs, mergers, acquisition, disposals and fund raising.
Away from the office, Will has two young boys to keep entertained, which he just about keeps separate from other hobbies of fishing, shooting, horse racing and skiing.
His area of specialism is advising exiting or retiring shareholders on unlocking maximum value from the sale of their business. Shafwaan is able to manage the entire sale process from identifying and discreetly approaching strategic trade or private equity buyers, securing offers and negotiating the terms of a deal and project management of the deal through to completion.
Shafwaan is also experienced in assisting clients in realising growth through targeted acquisition searches and in raising growth capital.
Prior to joining Magma, Shafwaan spent over six years at national accountancy firm RSM, where he qualified as a Chartered Accountant and where he focussed exclusively on the SME market.
Outside of work he enjoys fishing, football and socialising with friends.
